1. Acceptance of Terms

By accessing our website insight.ai.vn ("Website") or using any products, applications, or services provided by Insight AI VN ("Company", "we", "us", "our") (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any supplemental terms applicable to specific products (e.g., WiseNest Terms). These Terms constitute a legally binding agreement between you and Insight AI VN under Vietnamese law. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE THE SERVICES. We may modify these Terms at any time. The updated version takes effect upon posting, unless otherwise specified. Continued use constitutes acceptance of changes.

2. Eligibility

To use the Services, you must: • Be at least 13 years old (or 16 in the EU/EEA; in Vietnam, persons under 16 require parental or guardian consent) • Have legal capacity to enter into binding agreements under the Civil Code 2015 • Not be prohibited from using the Services under applicable law in your country of residence • Not have been previously suspended or terminated by Insight AI VN

3. Account Registration

By creating an account, you agree to:

Provide accurate, complete, and current information
Maintain and update your information when changes occur
Keep your login credentials confidential and not share them with anyone
Use secure authentication methods
Immediately notify Insight AI VN upon discovering unauthorized access or security breaches
Accept full responsibility for all activity under your account
Not create multiple accounts for purposes of abuse or fraud

4. Service Description

Insight AI VN provides a smart app platform including but not limited to: • Home management and lifestyle applications • Personal finance tools • Entertainment and educational applications • Related digital services Services may include a free tier with basic features and paid subscriptions (Premium) with advanced features. Feature details may change over time. Services are provided for personal, non-commercial use, unless otherwise agreed in writing.

5. Paid Subscriptions and Payments

Premium features are available through paid subscriptions:

Payments are processed via the Apple App Store or Google Play Store
Subscriptions auto-renew unless canceled at least 24 hours before the renewal date
Prices are displayed in local currency and may vary by region
Prices may be adjusted with 30 days' advance notice
Refunds are handled under the policies of the respective app store
Insight AI VN does not directly collect or store payment information

6. Intellectual Property

All content, design, source code, logos, trademarks, trade names, and other intellectual property related to the Services are the exclusive property of Insight AI VN or its licensors, protected by the Intellectual Property Law 2005 (amended 2009, 2019, 2022) and international treaties to which Vietnam is a party. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes. You may NOT: copy, modify, distribute, resell, sublicense, rent, disassemble, reverse engineer, or create derivative works from any part of the Services without written consent.

7. User Content

You retain full ownership of content you create through the Services ("User Content"). You grant Insight AI VN a worldwide, non-exclusive, royalty-free, transferable license to: • Store, process, and display Content to provide the Services • Create backups for data protection • Analyze anonymized data to improve the Services This license automatically terminates when you delete the Content or your account. You warrant that your User Content does not violate applicable laws, third-party rights, or these Terms.

8. Prohibited Activities

You agree NOT to:

Use the Services for unlawful, fraudulent purposes or in violation of third-party rights
Transmit content that violates Vietnamese law: opposing the state, inciting violence, pornography, discrimination, or other harmful content (Article 16, Cybersecurity Law 2018)
Copy, modify, reverse engineer, decompile, or distribute any part of the Services
Disable, interfere with, or sabotage security features
Use bots, crawlers, scrapers, or other automated systems without permission
Transmit viruses, malware, or harmful software
Attempt unauthorized access to systems, data, or other users' accounts
Interfere with normal Services performance or functionality
Use the Services to collect personal information of other users without consent
Impersonate any person or organization

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE • WARRANTIES OF ACCURACY, COMPLETENESS, OR RELIABILITY • WARRANTIES OF UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION • WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS Note: Under the Consumer Protection Law 2023, certain consumer rights in Vietnam cannot be waived.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Insight AI VN AND ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR: • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY • COST OF PROCURING SUBSTITUTE SERVICES • DECISIONS OR ACTIONS BASED ON INFORMATION FROM THE SERVICES TOTAL MAXIMUM LIABILITY OF Insight AI VN SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER. This limitation applies regardless of legal theory and even if Insight AI VN has been advised of the possibility of such damages. Note: Liability limitations may be subject to mandatory consumer protection regulations in Vietnam.

11. Indemnification

You agree to defend, indemnify, and hold harmless Insight AI VN from all claims, losses, liabilities, and expenses (including reasonable attorney fees) arising from: • Your use of the Services • Your breach of these Terms • Your violation of law or third-party rights • User Content you submit

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam. The parties shall first attempt to resolve disputes through negotiation and mediation. If unresolved within 30 days, disputes shall be submitted to the competent People's Court in Ho Chi Minh City, Vietnam. For EU/EEA users, you may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. For users in other jurisdictions, mandatory local consumer protection laws remain applicable.

13. Termination

We reserve the right to suspend or terminate your account and access if: • You violate these Terms • Required by law or competent authorities • Fraudulent, abusive, or security-threatening behavior is detected • At our reasonable discretion to protect the Services and other users You may terminate your account at any time through app settings or by contacting support@insight.ai.vn. Upon termination: • Your license to use the Services ends immediately • Paid subscriptions will not auto-renew (you must cancel through the app store) • Data will be handled in accordance with our Privacy Policy

14. Force Majeure

Insight AI VN shall not be liable for failure to perform or delay in performing the Services due to events beyond reasonable control, including but not limited to: natural disasters, war, terrorism, epidemics, strikes, internet outages, changes in law, or acts of third parties.

15. Severability and Entirety

If any provision of these Terms is found by a court or competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision closest in meaning. These Terms, together with the Privacy Policy and product-specific terms (such as WiseNest Terms), constitute the entire agreement between you and Insight AI VN.
